Terms and conditions

These terms and conditions apply to any use of Kwis Het Wel!, offered by De Bie Digital. By creating an account, activating the freemium version, or taking out a subscription, you fully agree to these terms. Please read them carefully. This is an English translation of our Dutch terms and conditions, provided for convenience; in case of any discrepancy, the Dutch version prevails.

Article 1 - Definitions

In these Terms and Conditions, the following terms are used:

  • De Bie Digital: Roy de Bie and Thomas van der Pas, established in Haaren, Netherlands Chamber of Commerce (KvK) number 95114459, trading under the name De Bie Digital, provider of Kwis Het Wel!
  • Kwis Het Wel!: the digital quiz application and associated services, available via kwishetwel.com.
  • Customer: the natural person or legal entity that takes out a subscription to Kwis Het Wel!
  • Consumer: a customer acting as a natural person outside a profession or business.
  • User / Player:a person who participates in a quiz session through a customer's license.
  • Subscription: the agreement under which the customer gains access to the (paid) features of Kwis Het Wel!
  • Freemium: the free basic version of Kwis Het Wel! with limited features.
  • License: the non-exclusive, non-transferable right of use granted by De Bie Digital to the customer.
  • In writing: by email or through a communication channel designated by De Bie Digital.

Article 2 - Applicability

2.1 These Terms and Conditions apply to all offers, agreements, and services of De Bie Digital relating to Kwis Het Wel!, unless otherwise agreed in writing.

2.2 By creating an account, activating the freemium version, or taking out a subscription, the customer fully accepts these terms.

2.3 The applicability of any purchasing or other terms of the customer is expressly rejected.

2.4 These terms have been drawn up under Dutch law. Customers outside the Netherlands (including Belgian customers) agree, by using Kwis Het Wel!, to the applicability of Dutch law, to the extent permitted by the mandatory provisions of their own country.

2.5 De Bie Digital reserves the right to amend these terms. Amended terms will be announced in writing at least 30 days in advance. Continued use after the effective date constitutes acceptance.

Article 3 - The offer and formation of the agreement

3.1 Kwis Het Wel! is available in a free basic version (freemium) and in paid subscription plans (monthly or annual).

3.2 The freemium version offers limited features. De Bie Digital determines at its sole discretion which features are available in the freemium version and reserves the right to change these at any time.

3.3 A subscription agreement is formed at the moment the customer has completed the ordering process and the payment has been confirmed by our payment provider (Stripe).

3.4 De Bie Digital confirms the formation of the agreement by email. This confirmation contains an overview of the chosen subscription, the price, and the start date.

3.5 All prices stated on the website include VAT, unless expressly stated otherwise.

Article 4 - Subscriptions, payment, and price changes

4.1 Subscription plans

De Bie Digital offers monthly and annual subscriptions. The customer chooses one of these options at the time of purchase. At the end of the subscription period, the subscription is automatically renewed for the same duration, unless it has been cancelled in time in accordance with Article 5.

4.2 Payment

Payment is made in advance via Stripe. Upon automatic renewal, the amount due is automatically collected on or around the renewal date. In the event of a failed payment, the customer will receive a notification and De Bie Digital has the right to temporarily suspend access to the paid features until payment has been made.

4.3 Price changes

De Bie Digital reserves the right to change the subscription prices. Price changes will be communicated to the customer in writing at least 30 days before the next renewal date. If the customer does not agree to the new price, the customer has the right to cancel the subscription before the effective date of the price change, at no additional cost. Continued use after the effective date constitutes acceptance of the new price.

4.4 Invoices

The customer receives an invoice by email with each payment. Invoices are also available in the account area.

Article 5 - Cancellation and withdrawal

5.1 Notice period

The customer must cancel the subscription no later than 31 days before the next automatic renewal date. Cancellation must be made in writing via the account area or via [email protected].

For a monthly subscription this means: cancellation no later than 31 days before the next monthly renewal date. For an annual subscription this means: cancellation no later than 31 days before the next annual renewal date.

If cancellation is not made in time, the subscription is automatically renewed for the original subscription period (one month or one year, respectively) and the full price of that period is due. No refund is possible in that case.

5.2 No right of withdrawal for digital products (B2C)

Kwis Het Wel! is a digital service. Pursuant to Article 6:230p(e) of the Dutch Civil Code (Burgerlijk Wetboek), the statutory 14-day right of withdrawal for consumers lapses once the performance of the digital service has begun with the consumer's express consent and the consumer has acknowledged thereby losing the right of withdrawal. By completing the purchase, the consumer confirms agreeing to this.

5.3 No refunds

Since Kwis Het Wel! is a digital product to which access is granted immediately, no refunds are given after the subscription period has started, unless required otherwise by law or expressly agreed in writing by De Bie Digital in a specific case.

5.4 Termination by De Bie Digital

De Bie Digital reserves the right to terminate a subscription with immediate effect in the event of a breach of these terms (see also Article 7), without any refund of amounts already paid.

Article 6 - License and access

6.1 Grant of license

Upon activation of a paid subscription, De Bie Digital grants the customer a personal, non-exclusive, non-transferable, and revocable license to use Kwis Het Wel! in accordance with these terms.

6.2 Permitted use

The license is tied to one account. The quiz application may be used on multiple devices, provided that only one active quiz session takes place at a time. The license may be shared internally within one organization or location, provided that no more than one session is active at the same time.

6.3 Prohibited use

The customer is expressly not permitted to:

  • Share the license with multiple locations or organizations running active sessions simultaneously;
  • Share login credentials with third parties outside the customer's own organization;
  • Copy, reverse engineer, decompile, or modify the application or the underlying software;
  • Use the application for commercial purposes other than organizing quiz nights internally (e.g., reselling the service or using it as a platform for paid events for third parties without written permission from De Bie Digital);
  • Reproduce, distribute, or publish content of the application (questions, categories, images, characters) without written permission from De Bie Digital.

6.4 Freemium

The freemium version is intended exclusively for personal, non-commercial use to get acquainted with the application. Commercial use of the freemium version is not permitted.

Article 7 - Unlawful use and sanctions

7.1 In the event of suspected or established unlawful use (including running multiple active sessions simultaneously through one license at multiple locations, sharing login credentials with third parties, or any other breach of Article 6), De Bie Digital is entitled to:

  • Block the customer's access immediately and without prior warning (ban);
  • Terminate the subscription with immediate effect without refund;
  • Remove the customer from the platform;
  • Claim compensation for damages suffered.

7.2 De Bie Digital reserves the right to take technical measures to detect and prevent simultaneous use of one license at multiple locations.

7.3 Objections to a block can be submitted in writing to [email protected]. De Bie Digital aims to respond within 5 business days.

Article 8 - Availability and maintenance

8.1 De Bie Digital strives for the highest possible availability of Kwis Het Wel!, but does not guarantee uninterrupted availability. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 De Bie Digital is not liable for damages resulting from temporary outages or reduced availability of the service.

8.3 In the event of significant disruption or prolonged outage, the customer can contact us via [email protected]. De Bie Digital assesses on a case-by-case basis whether compensation in the form of a temporary upgrade or subscription extension is appropriate. No rights can be derived from this.

8.4 De Bie Digital reserves the right to change or expand the service or to remove features. Material changes will be communicated in advance.

Article 9 - Intellectual property and copyright

9.1 All intellectual property rights in Kwis Het Wel! (including but not limited to the software, the platform, the quiz questions, the categories, the images, the characters, the illustrations, the texts, logos, brand identity elements, and audiovisual content) rest exclusively with De Bie Digital. Nothing in these terms implies a transfer of any intellectual property right to the customer.

9.2 The customer only obtains the right of use as described in Article 6. The customer is not permitted to reproduce, duplicate, distribute, publish, or share content of Kwis Het Wel! through any medium whatsoever, without prior written permission from De Bie Digital.

9.3 De Bie Digital has no commercial agreements or partnerships with third parties regarding the content used in the application. All images, characters, and other content are the property of De Bie Digital or have been obtained under license with the required rights.

9.4 In the event of (suspected) infringement of De Bie Digital's intellectual property rights, De Bie Digital reserves the right to:

  • Take content offline or have it removed immediately (including via a notice-and-takedown procedure);
  • Take legal action and/or file a complaint;
  • Claim compensation for damages.

9.5 Kwis Het Wel! does not contain licensed third-party content (such as music, trademarks, or images from other parties) to which additional rights would apply, unless expressly stated otherwise.

Article 10 - Obligations of the customer

10.1 The customer is responsible for keeping their login credentials confidential. In the event of loss or misuse, the customer must inform De Bie Digital immediately.

10.2 The customer is responsible for the use of the application by users/players who participate in quiz sessions through the customer's license.

10.3 The customer ensures that the content they enter (e.g., their own quiz questions, images) does not infringe the rights of third parties and is not contrary to the law or public order.

10.4 The customer indemnifies De Bie Digital against claims by third parties arising from the use of the application by the customer or their users.

10.5 Certain subscription plans allow the customer to create their own quiz rounds and questions (hereinafter: "customer-created content"). The customer can keep this content private and share it exclusively with a group of their choosing. De Bie Digital deliberately offers this option so that customers can create personal content tailored to a specific group.

10.6 De Bie Digital does not review, check, or moderate customer-created content in advance and does not exercise editorial oversight over it. The customer is solely responsible for its content, accuracy, and lawfulness. Customer-created content represents only the customer and not De Bie Digital: it does not reflect the opinions, views, or endorsement of De Bie Digital and may not be presented as originating from, created by, or approved by De Bie Digital, nor as part of the official offering of Kwis Het Wel!

10.7 The customer is not permitted to create or share content that is unlawful, offensive, discriminatory, threatening, hateful, or otherwise hurtful, or that infringes the privacy or the (intellectual property) rights of third parties. The customer indemnifies De Bie Digital against all third-party claims arising therefrom (see also 10.4). De Bie Digital is entitled, but not obliged, to remove or have removed such content upon a report or suspicion of a breach and to block the account concerned in accordance with Article 7, and accepts no liability for exercising or not exercising this right.

Article 11 - Liability

11.1 De Bie Digital is not liable for indirect damages, consequential damages, lost profits, missed savings, or damages due to business interruption arising from the use of or the inability to use Kwis Het Wel!

11.2 De Bie Digital is likewise not liable for damages resulting from:

  • Temporary or prolonged outages of the service;
  • Loss of data;
  • Unauthorized access to account details caused by the customer;
  • Inaccuracies in the quiz content, insofar as these do not involve intent or gross negligence on the part of De Bie Digital.

11.3 If De Bie Digital is liable, the total liability is limited to the amount the customer paid in subscription fees in the three months preceding the event causing the damage.

11.4 The limitations in this article do not apply to damages resulting from intent or deliberate recklessness on the part of De Bie Digital.

11.5 For consumers, the mandatory statutory liability rules apply in full, insofar as they deviate from the above.

Article 12 - Privacy and data processing

De Bie Digital processes personal data in accordance with the General Data Protection Regulation (GDPR). The way in which personal data is processed is described in our privacy statement. The privacy statement forms part of the agreement with the customer.

Article 13 - Force majeure

13.1 De Bie Digital is not obliged to perform any obligation if prevented from doing so as a result of force majeure. Force majeure means: circumstances beyond De Bie Digital's control, including but not limited to power outages, internet outages, DDoS attacks, outages at hosting providers or payment providers, fire, government measures, or pandemics.

13.2 If a force majeure situation lasts longer than 30 days, the customer has the right to terminate the agreement in writing, without any right to compensation.

Article 14 - Applicable law and disputes

14.1 All agreements between De Bie Digital and the customer are governed exclusively by Dutch law.

14.2 Disputes are preferably resolved by mutual agreement. The customer can contact us for this purpose via [email protected].

14.3 If the parties fail to resolve the dispute by mutual agreement, the dispute will be submitted to the competent judge of the Zeeland-West-Brabant District Court (Rechtbank Zeeland-West-Brabant, Breda location), unless mandatory statutory provisions designate another court.

14.4 Consumers can also file a complaint via the European ODR platform: ec.europa.eu/consumers/odr.

Article 15 - Final provisions

15.1 If any provision of these terms proves to be void or voidable, this does not affect the validity of the remaining provisions. The parties will replace the void provision with a valid provision that comes as close as possible to the original intent.

15.2 De Bie Digital is entitled to transfer rights and obligations under the agreement to a third party, provided that the customer is informed of this in writing in advance and has the right to terminate the agreement if they do not agree to it.

15.3 The failure of De Bie Digital to immediately enforce any right or provision does not constitute a waiver of that right.
